TERMS & CONDITIONS
The following terms have been tailored to protect both the client and P2E Marketing (the agency) during a working relationship.
Rights and Ownership:
All services provided by the agency shall be for the exclusive use of the client other than for the agency’s promotional use. Upon payment of all fees, the following reproduction rights for all approved final designs created by the agency for this project shall be granted:
• Client to gain full transferable rights to brand identity.
• Client to gain full license to reproduce works through commercial printers.
• The client shall be entitled to ownership of all final artwork upon full payment of the agreed fee.
Third Party Contracts:
The agency may contract with other creative professionals to provide services such as web development, photography, and illustration. Any third party terms and conditions will include full reproduction rights for the client. Where such contracting adds to the project cost, the client will first be asked for permission to proceed. No project will commence on the assumption that third parties might be required for project completion. Such details will be finalized prior to project commencement, unless requested by the client at a later date.
The agency can be reached by telephone, Monday to Friday between 9am and 5pm, Eastern Time. Skype chats and in-person meetings are to be scheduled ahead of time.
A 50 percent down payment is required prior to commencement of any project work. For retainer agreements, payment for the first month is required prior to any work being undertaken, and monthly invoices will be submitted, due at the beginning of each month of the contract. Projects will be formally scheduled once down payment is received by the agency. All down payments are non-refundable. For project work, the remaining 50 percent is payable to the agency upon completion of the project, and before original artwork is supplied to the client.
If, after the project has commenced, subsequent invoices are not paid within 10 days of due date, a 2 percent “delayed payment” fee will be charged. This initial 2 percent figure will be added upon each recurring 10-day period until the full amount has been received by the agency.
If after project commencement, client communication (face-to-face, telephone, or email) stops for a period of 90 days, the project can be cancelled, in writing by the agency, and ownership of all copyrights shall be retained by the agency. If cancellation occurs, the client shall pay a cancellation fee for work completed, based on the stage of project completion. The fee will not exceed 100 percent of the total project cost.
The client shall provide the agency with samples of print design that result from the project deliverables. Such samples shall be representative of the highest quality of work produced. The agency may use such copies and samples for publication, exhibition, or other promotional purposes. The agency shall have the right to photograph all completed designs or installations and shall have the right to use such photographs for publication, exhibition, or other promotional purposes.
The client shall inform the agency in writing before the project commences if any portion of any material or information provided by the client or if any portion of the project is confidential.
The client agrees to indemnify and hold harmless the agency from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, but only to the extent caused by, arising out of, the work supplied by the agency.
A document containing the above terms and conditions will be supplied via email along with the first invoice. Acceptance should be stated in an email reply.
Collection of Personal Information:
When you engage in certain activities on this site, you may be asked to provide information about yourself. It is completely optional for you to engage in these activities. If you elect to do so, however, you may be required to provide personal information, such as your name, mailing address, and e-mail address. When you submit personal information, you understand and agree that P2E may store, and process your information for future use. P2E collects this information in order to record and support your participation in the activities you select. Orbit also uses information that you provide as part of our effort to keep you informed about special offers, and other P2 services. P2E will never sell or share your information with other companies.
All offers are limited to the specified service offering, and for the specified time; no rain checks are available; no substitutions. Not valid on prior purchases, taxes or shipping and processing charges, or any out-of-pocket expenses incurred by P2E. Offers may not be combined with any other sale, promotion, discount, code, coupon and/or offer. Promotions have no cash value. Void where prohibited, taxed or otherwise restricted. All nominees received by the promotion due date will be considered for the give away. Nominations will be put to an online vote via social media. In case of a tie, the winner will be selected at random by representatives from P2E. Exact project specifics and parameters will be finalized after a winner is determined.
